1. Agreement to Terms

By accessing or using Care2Metrics ("the Service"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing the Service.

2. Use of the Service

Care2Metrics provides a platform for healthcare providers to anonymously monitor and analyze post-discharge patient outcomes through automated surveys. The Service is intended for use by authorized healthcare professionals and organizations only.

2.1 Account Registration

To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2.2 Account Security

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party and to immediately notify Care2Metrics of any unauthorized use of your account.

3. Healthcare Data and Privacy

Care2Metrics is designed to comply with healthcare data protection regulations, including HIPAA (U.S.) and Ley Federal de Protección de Datos Personales (Mexico). By using the Service, you agree to:

• Only submit anonymized, non-PHI data as specified in our documentation
• Obtain appropriate consent from patients before enrolling them in surveys
• Use the Service in compliance with all applicable healthcare privacy laws
• Maintain the confidentiality of any data accessed through the Service

4. Intellectual Property

The Service and its original content, features, and functionality are owned by Care2Metrics and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

5. User Responsibilities

When using the Service, you agree not to:

• Attempt to identify individual patients from anonymized data
• Use the Service to transmit any personally identifiable information
• Violate any applicable laws or regulations
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Circumvent, disable, or otherwise interfere with security-related features of the Service
• Use the Service for any purpose that is unlawful or prohibited by these Terms

6. Subscription and Payments

Access to the Service requires a paid subscription. Subscription fees are based on the tier selected and the number of cases monitored. All payments are non-refundable except as required by law or as explicitly stated in these Terms.

7. Limitation of Liability

In no event shall Care2Metrics, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

8. Disclaimer

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Care2Metrics does not warrant that the Service will be uninterrupted, timely, secure, or error-free. While our AI models are designed to identify potential health risks, they are not a substitute for professional medical judgment.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws applicable in the jurisdiction where Care2Metrics is headquartered, without regard to its conflict of law provisions.

10. Changes to Terms

Care2Metrics reserves the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
